These Terms of Service ("Agreement") govern the use of software and services (collectively, the "Services") provided by Trove Homes, Inc. ("Trove", "Company", "we", or "us") via our website or related platforms. By accessing or using the Services or by submitting payment, you ("Customer", "you", or "your") agree to be bound by these Terms of Service.

Important Note: These License Terms of Service supplement the General Terms and Conditions. Both agreements apply to your use of our Services, and in the event of any conflict, these License Terms shall take precedence with respect to licensing matters only.

Services

Trove will provide access to certain digital tools and features, as described on our website or in the applicable service description at the time of purchase (collectively, the "Services"). Services may include, but are not limited to:

• Access to Trove's website platform
• Product catalogs and design tools
• Property mapping and quote tools
• Branding support including logos, domains, and hosting
• Website analytics

We reserve the right to modify or discontinue any part of the Services at any time with reasonable notice.

Account Registration

To use certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account.

Fees and Payment

By submitting payment, you agree to the pricing and billing terms described on the pricing page or communicated during the order process. Payments are due monthly in advance unless otherwise specified. All fees are non-refundable except as expressly stated in this Agreement.

Unpaid invoices are subject to a 1.5% monthly late fee (or the maximum permitted by law), and service may be suspended or terminated for nonpayment.

Term and Termination

This Agreement begins on the date of first payment and continues on a month-to-month basis unless terminated by either party. You may cancel at any time by providing sixty (60) days' written notice. Upon termination:

• You will remain liable for any fees incurred up to the effective termination date.
• Access to the Services will cease at the end of the then-current term.
• We will provide a 30-day window for electronic retrieval of your data; afterward, we may delete it at our discretion.

Customer Responsibilities

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Services
• Use the Services for unlawful, harmful, or unauthorized purposes
• Remove or obscure any proprietary notices

You are responsible for your equipment, internet connection, and maintaining the confidentiality of your account credentials.

Confidentiality and Proprietary Rights

Both parties agree to protect each other's confidential information. You retain ownership of your data; we retain ownership of our Services, software, and associated intellectual property.

We may collect and use aggregated, anonymized usage data to improve our products and services.

Service Availability and Warranty Disclaimer

We strive to maintain continuous availability of the Services, but we do not guarantee uninterrupted or error-free operation. Services may be unavailable during scheduled or emergency maintenance.

Disclaimer: The Services are provided "as is" without warranties of any kind, express or implied. Trove disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Trove is not liable for indirect, incidental, special, or consequential damages. Our total liability for any claims related to the Services is limited to the amount paid by you to us in the 12 months preceding the claim.

General

• This Agreement is governed by the laws of California.
• If any provision is found unenforceable, the remaining terms remain in full effect.
• These Terms constitute the entire agreement between the parties regarding the Services.

Modifications

We may update these Terms from time to time. Continued use of the Services after changes constitutes your acceptance of the revised Terms. The latest version will always be posted on our website.

By submitting payment or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
